The process for registering a new company is as follows:
1. Business Administration Bureau Name Approval
Please propose a company name (trade name) consisting of two or more Chinese characters (inclusive of two characters). Due to the new regulation, identical two-character trade names in the same industry are not allowed, so it's advisable to draft three to five names for selection. Once the chosen name is checked by the Industrial and Commercial Administration Bureau and no duplicate is found, a "Pre-Approval Notice for Company Name" will be issued.
2. Rent office space
The office must be for commercial or business use. Current regulations state that residential use is not eligible for registration. When renting, a house lease agreement must be signed and the property must be registered at the local housing center. You will need to collect the original registered lease agreement and a copy of the landlord's property certificate. The name and address on the agreement must match the property certificate.
3. After capital verification, submit for business registration acceptance
Complete various forms, including the establishment registration application, shareholder (founder) list, board of directors and manager supervision details, legal representative registration form, representative or agent registration form. Upon completion, submit these along with the name approval notice, company articles of association, lease agreement for the premises, copy of the property certificate, and capital verification report to the Administration for Market Regulation for processing.
4. Obtain an Organization Code
Obtain the Organization Code by presenting the business license and relevant documents at the Municipal Technical Supervision Bureau; typically, it takes 3 working days to complete.
5. Apply for National and Local Tax Registration
After obtaining the license, you must apply for the national and local tax registration at the local tax bureau within 15 working days. Additionally, you must report taxes to the tax bureau on a monthly basis, even if no business activities are conducted and no taxes are owed.
6. Obtain an Account Opening Permit
Present the original business license, code certificate, and national/local tax certificates to the bank for account opening authorization, and establish a basic account.
7. Commencing tax accounting work
Upon establishment, the company must complete the previous month's tax reporting by the 15th of each month, in accordance with regulations.
The cost will depend on the amount of your registered capital, as it affects the fees for generating reports, etc. Therefore, there's no fixed price! However, the Code Bureau charges are consistent at $113 (excluding digital certificates).
Accounting agency bookkeeping and tax reporting process
1. Accept entrusted agreements for financial outsourcing and agency accounting contracts, specifying service items and fees.
2. Submit invoicing documents (Deadline: 1st to 8th of each month)
At that time, customers will deliver the monthly accounting invoices to the company, or the company will arrange field accountants to collect the monthly accounting invoices from the customer's location and conduct preliminary organization of the invoices.
For clients who have newly established businesses and have never engaged in financial accounting, we will assist them: to open accounting accounts, establish an accounting system; to prepare accounting entries based on the legal original documents provided by the client (including: purchase and sale invoices, inventory receipts, material issue sheets, payment receipts and remittances, and other financial income and expenditure documents, as well as relevant economic contracts); to record and close accounts; and to compile accounting reports.
3. Accounting (Time: 1st to 15th of each month)
The accounting clerk further organizes the customer's invoices, communicates promptly with the customer regarding any issues with the invoices, performs accounting calculations, accounts management, and tax computation.
The auditing accountant reviews the accounting results of the bookkeeper, including checks on the completeness and legality of documents, accuracy of accounting treatments, legality of tax calculations, reconciliation of accounts receivable and payable, and provides an accurate assessment of potential issues in the client's accounts. After all accounting reviews are error-free, tax return forms and tax payment receipts are prepared, and communication with clients regarding tax situations is conducted. Tax Reporting (Time: January 1st - 15th each month)
The field accountant will review the tax payment vouchers filled out by the accounting department and deliver them to the customer's bank for the transfer of taxes. The field accountant will also visit the national and local tax offices for on-site declarations.
